Rome, April 15th 2013 - Enel Green Power SpA informs that today the expiring Board of Directors has approved the presentation of the candidacy of Prof. Luca Anderlini as director of the Company holding the independence requirements provided for by the law (articles 147-ter, paragraph 4, and 148, paragraph 3, of the Consolidated Financial Act) and by article 37 of Consob Market Regulation.
This candidacy has been deemed appropriate in consideration of the proposal made by the majority shareholder Enel SpA to confirm in ten members the composition of the Board of Directors and of the filing of two slates for a total number of nine candidates. Seven of these candidates are listed in the slate filed by Enel S.p.A., while the other two in the slate jointly filed by the shareholders Fondazione E.N.P.A.M. and INARCASSA.
In fact, the Board of Directors has taken into account the impossibility of selecting the required number of directors from the slates filed by the shareholders, should the Shareholders Meeting approve the composition of the Board of Directors in ten members.
The candidacy of Prof. Luca Anderlini is in line with the suggestions coming from minority shareholders, taking into account the communications of some institutional investors received by the Company.
