ENEL GREEN POWER: THE NEW BOARD OF DIRECTORS CONFIRMS FRANCESCO STARACE AS CHIEF EXECUTIVE OFFICER AND GENERAL MANAGER AND SETS UP ITS COMMITTEES

Rome, May 6th 2013 – The new Board of Directors of Enel Green Power S.p.A., appointed by the ordinary Shareholders’ Meeting held on April 24th, 2013, met today for the first time under the chairmanship of Luigi Ferraris.

The Board of Directors confirmed Francesco Starace as Chief Executive Officer and General Manager of the Company and defined the attribution of powers, assigning to the Chief Executive Officer delegated powers substantially analogous to those already granted under the previous mandate.

The Board of Directors also verified that the Directors Luca Anderlini, Carlo Angelici, Giovanni Battista Lombardo, Giovanni Pietro Malagnino, Paola Muratorio and Luciana Tarozzi met the independence requirements provided for by both the Consolidated Financial Act and art. 37 of Consob Market Regulation, thus including the independence requirements provided for by the Corporate Governance Code of listed companies (hereinafter in short, the “Corporate Governance Code”).

The Board of Directors also set up the following internal Committees, as provided for by the Corporate Governance Code, having advisory and proactive functions in the areas for which they are responsible:

  • Nomination and Compensation Committee, composed by the independent Directors Carlo Angelici (acting as chairman), Luca Anderlini and Paola Muratorio;
  • Control and Risk Committee, composed by the independent Directors Giovanni Battista Lombardo (acting as chairman), Giovanni Pietro Malagnino and Luciana Tarozzi.

Finally, the Board of Directors established an internal Related Parties Committees –made up entirely of independent Directors – responsible for issuing specific opinions on transactions with related parties carried out by Enel Green Power S.p.A., either directly or through subsidiaries, in the cases and in the ways set out in the relevant procedure adopted by the same Board in December 2010, according to the relevant regulation issued by Consob. The Related Parties Committee is composed by Carlo Angelici (acting as chairman), Luca Anderlini and Giovanni Pietro Malagnino.
